Just ran it on Metalkid's calculator.

EQ is always a ohko on Magnezone. Magnezone outspeeds, but does only 82-96 percent damage, therefore is not a counter. Heres what happens:

You switch in Magnezone
Steelix used earthquake!
Its super effective!
Magnezone hung on with its focus sash:
Magnezone used Magnet Rise!
Steelix used Earthquake! It missed!
Magnezone used Hidden Power!
Its super effective!
Steelix used Ice Fang!
Magnezone Fainted!

Magnet rise will only delay it for another turn, as Zone only has one hp left, so thunder fang/ice fang are sure to kill.
 
Magnezone doesn't work, because if he switched in on EQ, Steelix only has to do 1 more damage (with any other move) to take Magnezone out. HP Fire does 96% to Steelix tops, so Steelix has time to take it out.

You can't switch into Waterfall, so it's not a counter. It's not, "who can switch in safe as after the other poke dies."
